Terms of Service

These Terms of Service ("Terms") govern your access to and use of bgnservices.com and the websites, platforms, tools, and services we provide (collectively, the "Services"), operated by BGN Services ("BGN," "we," "us," or "our"). By using our Services, requesting a quote, or engaging us for a project, you agree to these Terms. If you don't agree, please don't use the Services.

BGN Services designs and builds custom websites, business platforms, CRMs, client portals, and sports & school software, and offers optional AI lead-generation add-ons and ongoing website management. The specific scope, deliverables, timeline, and price for any project are agreed separately in a proposal, quote, or written agreement between BGN Services and the client — these Terms apply in addition to, not instead of, that agreement.

BGN Services is not affiliated with Step Up For Students or any scholarship-funding organization, and does not control or guarantee the outcome of any provider application. Our Step Up Provider Launch service helps organize documents, build required systems, and prepare your application — approval decisions are made solely by Step Up For Students and its partners, and are outside our control.

Payments made through our Services are processed securely by Stripe. Pricing, deposit amounts, payment schedules, and refund terms for a specific project are set out in your quote or service agreement. Unless otherwise agreed in writing, deposits and payments for work already performed are non-refundable once work has begun.

To deliver your project on time, we rely on you to provide accurate information, timely feedback, and any content, credentials, or access we reasonably need (e.g. domain/hosting access, brand assets, account logins). Delays in providing these may delay delivery.

Unless your agreement says otherwise, ownership of the final website, platform, or deliverable transfers to you upon full payment. BGN Services retains the right to reuse general-purpose code, components, and know-how developed during a project (excluding your confidential business information and content) in future work for other clients. Content, trademarks, and materials you provide to us remain yours, and you're responsible for ensuring you have the rights to use them.

You agree not to use our Services for any unlawful purpose, to misrepresent your identity, to interfere with the security or normal operation of our systems, or to upload content you don't have the right to use.

Our Services rely on third-party providers such as Stripe (payments) and SendGrid (email delivery). We aren't responsible for outages, errors, or policy changes by those providers, though we'll work with you to resolve any resulting issues where we reasonably can.

Our Services are provided "as is." While we build and test everything carefully, we don't guarantee that any website, platform, or system will be error-free or uninterrupted, or that it will achieve specific business results (e.g. search rankings, lead volume, or program approval). To the fullest extent permitted by law, BGN Services will not be liable for indirect, incidental, or consequential damages arising from your use of the Services; our total liability for any claim will not exceed the amount you paid us for the applicable project in the preceding 12 months.

Either party may end an engagement as set out in the applicable project agreement. We may suspend or discontinue access to a hosted platform or portal if payments aren't made as agreed, with reasonable notice where practical.

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles, unless your written agreement with us specifies otherwise.

We may update these Terms from time to time; we'll update the "Last updated" date above when we do. Continued use of our Services after a change means you accept the updated Terms.
